1. Agreement to Terms

By accessing or using Jensi ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Jensi is an AI-powered project management platform that helps teams capture tasks, consolidate project data, and generate automated updates. The Service includes web applications, APIs, and related tools.

3. Account Registration

To use Jensi, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

You must be at least 16 years old to create an account. Organizations must ensure all users meet this requirement.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Reverse engineer or attempt to extract source code
  • Use the Service to send spam or unsolicited communications
  • Violate any applicable laws or regulations
  • Impersonate any person or entity

5. User Content

You retain ownership of content you create in Jensi. By using the Service, you grant us a license to:

  • Store, process, and display your content to provide the Service
  • Use anonymized, aggregated data to improve the Service
  • Share content with team members you've authorized

You are responsible for ensuring you have the right to upload any content and that it doesn't violate others' rights.

6. AI Features and Credits

Jensi's AI features operate using a credit system. Credits are consumed when AI performs automated actions. Credit usage varies based on:

  • The complexity of the AI action
  • The amount of content being processed
  • Your subscription tier

When credits are exhausted, AI features pause until credits refresh. Manual features remain available. We do not provide refunds for unused credits.

7. Subscription and Payment

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method.

  • Free Tier: Limited features, no credit card required
  • Paid Tiers: Charged at the beginning of each billing cycle
  • Upgrades: Prorated for the remainder of the billing period
  • Downgrades: Take effect at the next billing cycle
  • Cancellation: Access continues until the end of the billing period

Prices may change with 30 days' notice. Continued use after price changes constitutes acceptance.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice
  • Address emergencies without prior notice
  • Modify or discontinue features with reasonable notice

For enterprise customers with SLA agreements, specific uptime commitments are detailed in your enterprise agreement.

9. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.

10. Intellectual Property

Jensi and its original content, features, and functionality are owned by Jensi Inc. and are protected by international copyright, trademark, and other intellectual property laws.

You may not use our name, logo, or branding without written permission.

11. Third-Party Integrations

Jensi integrates with third-party services (Slack, email providers, etc.). Your use of these integrations is subject to those services' terms. We are not responsible for third-party services.

12. Limitation of Liability

To the maximum extent permitted by law, Jensi Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of profits, data, or business opportunities
  • Service interruptions or data breaches beyond our control
  • Actions of third parties or third-party services

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Jensi Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Termination

We may suspend or terminate your account if you violate these Terms or engage in harmful conduct. Upon termination:

  • Your right to use the Service ends immediately
  • We may delete your data after a reasonable retention period
  • Provisions that should survive termination will remain in effect

You may terminate your account at any time through the account settings.

15. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive the right to participate in class action lawsuits.

16. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance.

17. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Jensi Inc.
  • Severability: If any provision is unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right does not waive future enforcement.
  • Assignment: You may not assign these Terms without our consent.
  • Governing Law: These Terms are governed by the laws of Delaware, USA.
